1. Introduction and Acceptance of Terms

Welcome to QTRBK ("Service", "Platform", "we", "us", or "our"). These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and QTRBK Pty Ltd, governing your access to and use of the QTRBK application, website, and related services.

By accessing or using QTRBK, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.

If you are using the Service on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation to these Terms, and "you" refers to both you individually and that organisation.

1.1 Definitions

  • "Account" means your registered account with QTRBK.
  • "Content" means any data, text, information, or materials submitted, uploaded, or transmitted through the Service.
  • "HubSpot" means HubSpot, Inc. and its platform.
  • "Portal" means a HubSpot account connected to QTRBK.
  • "Subscription" means a paid plan providing access to premium features.
  • "User Data" means any data you provide or that is collected through your use of the Service.

2. Eligibility and Account Registration

2.1 Eligibility

To use QTRBK, you must:

  • Be at least 18 years of age or the age of legal majority in your jurisdiction;
  • Have a valid HubSpot account with appropriate permissions;
  • Have the legal capacity to enter into a binding agreement; and
  • Not be prohibited from using the Service under applicable laws.

2.2 Account Registration

To access QTRBK, you must connect your HubSpot account through HubSpot's OAuth authentication process. By connecting your HubSpot account, you authorise QTRBK to access and interact with your HubSpot data as described in these Terms and our Privacy Policy and AI Policy.

2.3 Account Responsibilities

You are responsible for:

  • Maintaining the confidentiality of your account credentials;
  • All activities that occur under your account;
  • Ensuring that your use of the Service complies with HubSpot's Terms of Service;
  • Providing accurate and complete information; and
  • Notifying us immediately of any unauthorised access to your account.

3. Service Description

3.1 Overview

QTRBK is a quarterly planning and performance management platform that integrates with HubSpot CRM. The Service provides tools for:

  • Quarterly Planning: Schedule and manage quarterly planning sessions with your team;
  • Team Management: Assign and manage team roles including Captain, Marketing, Sales, Service, Operations, and Website;
  • Goal Tracking: Monitor team activities and progress through scoreboard analytics;
  • Support Management: Create and track support tickets through HubSpot integration;
  • Calendar Integration: Synchronise meetings and track attendance through Google Calendar integration.

3.2 HubSpot Integration Requirement

QTRBK requires an active HubSpot account to function. The Service is designed to work exclusively with HubSpot CRM and cannot operate independently. You acknowledge that:

  • You must maintain an active HubSpot subscription;
  • QTRBK's functionality depends on HubSpot's availability and API access;
  • Changes to HubSpot's platform may affect QTRBK's features; and
  • You must comply with HubSpot's Terms of Service while using QTRBK.

3.3 Data Access and Permissions

By connecting your HubSpot account, you grant QTRBK permission to:

  • Read and write company information and properties;
  • Read HubSpot owner and user information;
  • Create, read, update, and manage tickets;
  • Create and manage custom properties on companies; and
  • Read CRM data to measure goal progress and performance.
  • Receive webhook notifications for data updates.

4. Subscription Plans and Billing

4.1 Subscription Tiers

QTRBK offers the following subscription tiers:

  • Champion: Access to all team roles and core features;
  • Team: Enhanced features and capabilities; and
  • Multi-team: Full feature access with advanced functionality.

Feature availability varies by tier. Current feature details are available on our website.

4.2 Billing Terms

For paid Subscriptions:

  • Billing Cycles: You may choose monthly or annual billing;
  • Payment: Payment is due at the start of each billing cycle;
  • Automatic Renewal: Subscriptions automatically renew at the end of each billing period unless cancelled;
  • Payment Methods: We accept major credit cards and other payment methods as displayed at checkout; and
  • Taxes: Prices are exclusive of applicable taxes, which will be added where required.

4.3 Price Changes

We may change Subscription prices at any time. Price changes will:

  • Be communicated to you at least 30 days before taking effect;
  • Apply to the next billing cycle following the notice period; and
  • Not affect the current billing cycle for existing subscribers.

If you do not agree to a price change, you may cancel your Subscription before the new price takes effect.


5. 30-Day Money-Back Guarantee

5.1 Guarantee Terms

We offer a 30-day money-back guarantee for new paid Subscriptions. If you are not satisfied with the Service, you may request a full refund within 30 days of your initial purchase.

5.2 Eligibility

To qualify for the money-back guarantee:

  • The request must be made within 30 days of your initial paid Subscription purchase;
  • This guarantee applies to first-time subscribers only;
  • Renewals and upgrades are not eligible for this guarantee; and
  • The guarantee applies once per customer or organisation.

5.3 Refund Process

To request a refund:

  1. Contact us at support@qtrbk.com within the 30-day period;
  2. Provide your account details and reason for the refund request; and
  3. Allow up to 10 business days for the refund to be processed.

Upon refund, your access to paid features will be terminated immediately.

5.4 Exclusions

The money-back guarantee does not apply to:

  • Subscriptions purchased more than 30 days ago;
  • Renewal payments;
  • Upgrades from one paid tier to another; and
  • Accounts terminated for violation of these Terms.

6. Cancellation and Termination

6.1 Cancellation by You

You may cancel your Subscription at any time through your account settings or by contacting us. Upon cancellation:

  • Your Subscription will remain active until the end of the current billing period;
  • You will not be charged for subsequent billing periods;
  • Your access to paid features will end when the current period expires; and
  • Your data will be retained in accordance with our Privacy Policy.

6.2 Effect of Cancellation

After cancellation:

  • QTRBK data will be access-restricted in your HubSpot account; your data will be retained in QTRBK;
  • QTRBK-specific data may be deleted after a retention period; and
  • You may resubscribe at any time.

6.3 Termination by QTRBK

We may suspend or terminate your access to the Service immediately if:

  • You breach these Terms;
  • You fail to pay applicable fees;
  • Your HubSpot account is suspended or terminated;
  • We are required to do so by law;
  • We reasonably believe your use poses a security risk; or
  • You engage in fraudulent or illegal activity.

We will provide notice of termination where reasonably practicable.

6.4 Effect of Termination

Upon termination:

  • All rights granted to you under these Terms will cease;
  • You must immediately stop using the Service;
  • We may delete your QTRBK account data; and
  • Provisions that by their nature should survive will remain in effect.

7. Acceptable Use Policy

7.1 Permitted Use

You may use the Service only for lawful purposes and in accordance with these Terms. You agree to use the Service in compliance with:

  • All applicable laws and regulations;
  • HubSpot's Terms of Service and Acceptable Use Policy;
  • Any third-party service terms (e.g., Google Calendar); and
  • These Terms.

7.2 Prohibited Activities

You agree not to:

  • Use the Service for any illegal purpose or in violation of any laws;
  • Access or attempt to access accounts or data belonging to others without authorisation;
  • Interfere with or disrupt the Service or servers connected to the Service;
  • Attempt to probe, scan, or test the vulnerability of the Service;
  • Circumvent any security measures or access controls;
  • Use the Service to send spam, unsolicited communications, or malware;
  • Upload or transmit viruses, malicious code, or harmful content;
  • Reverse engineer, decompile, or disassemble any part of the Service;
  • Use automated systems (bots, scrapers) to access the Service without permission;
  • Resell, sublicense, or commercially exploit the Service without authorisation;
  • Impersonate any person or entity or misrepresent your affiliation;
  • Use the Service in a manner that could damage, disable, or impair the Service; or
  • Assist or encourage any third party to do any of the above.

7.3 Data Accuracy

You are responsible for ensuring that data you input into the Service is accurate and that you have the right to use and share such data.


8. Intellectual Property

8.1 QTRBK Ownership

QTRBK and its licensors own all rights, title, and interest in and to the Service, including:

  • The software, code, and underlying technology;
  • The user interface, design, and visual elements;
  • Documentation, training materials, and guides;
  • Trademarks, logos, and brand elements; and
  • Any improvements, modifications, or derivative works.

Nothing in these Terms transfers any ownership rights to you.

8.2 License to Use the Service

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your internal business purposes during your Subscription term.

8.3 Your Content

You retain ownership of any Content you submit to the Service. By submitting Content, you grant us a worldwide, royalty-free licence to use, host, store, and process your Content solely for the purpose of providing and improving the Service.

8.4 Feedback

If you provide suggestions, ideas, or feedback about the Service ("Feedback"), you grant us the right to use such Feedback without restriction or compensation to you.


9. Data and Privacy

9.1 Privacy Policy

Our collection, use, and disclosure of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

9.2 HubSpot Data

When you connect your HubSpot account, we access and process data from your HubSpot portal. This includes:

  • Company records;
  • User and owner information;
  • CRM data used for goal tracking;
  • Ticket data; and
  • Custom properties created by QTRBK.

We process this data in accordance with our Privacy Policy and HubSpot's data processing requirements.

9.3 Data Synchronisation

QTRBK synchronises data between our platform and your HubSpot account. You acknowledge that:

  • Changes made in QTRBK may be reflected in your HubSpot account;
  • Changes made in HubSpot may be reflected in QTRBK;
  • We may store copies of HubSpot data locally to provide the Service; and
  • Data synchronisation depends on API availability and may experience delays.

9.4 Data Anonymisation for AI Processing

When CRM data is used with AI features, we apply anonymisation practices to protect personal information:

  • No Personal Identifiers: Contact names, email addresses, phone numbers, and other personally identifiable information (PII) from your CRM are not sent to AI services;
  • Aggregated Metrics Only: AI features receive aggregated statistics and performance metrics rather than individual contact or deal records;
  • Business Context Only: AI analysis focuses on business performance patterns, goal progress, and team activities—not individual customer data; and
  • Data Masking: Sensitive business information is masked or generalised before AI processing.

No Direct System Access: AI services do not have access to your HubSpot portal, nor do they have access to the QTRBK database where your data is stored. AI features receive only pre-processed, anonymised information that our servers prepare specifically for AI analysis. The AI cannot query, browse, or retrieve data from your systems—it only processes the limited, anonymised context we provide for each specific request. All AI-generated SMART Goal suggestions are displayed on screen for validation by you and your team before any changes are saved.

9.5 Data Security

We implement reasonable security measures to protect your data. However, no method of transmission or storage is completely secure, and we cannot guarantee absolute security.


10. Third-Party Services

10.1 HubSpot

QTRBK is built to integrate with HubSpot CRM. Your use of HubSpot is governed by HubSpot's own terms and policies. We are not responsible for:

  • HubSpot's availability, performance, or features;
  • Changes to HubSpot's platform or API;
  • HubSpot's data practices or security; or
  • Any disputes between you and HubSpot.

10.2 Google Calendar Integration

QTRBK offers optional integration with Google Calendar for meeting scheduling and RSVP tracking. Your use of Google Calendar is governed by Google's Terms of Service. By enabling this integration, you authorise QTRBK to:

  • Access your Google Calendar events;
  • Create, modify, and delete calendar events on your behalf;
  • Receive notifications about calendar changes; and
  • Track meeting attendance and RSVPs.

10.3 Microsoft Outlook Calendar Integration

QTRBK offers optional integration with Microsoft Outlook Calendar for meeting scheduling and RSVP tracking. Your use of Microsoft Outlook is governed by Microsoft's Terms of Service. By enabling this integration, you authorise QTRBK to:

  • Access your Outlook Calendar events;
  • Create, modify, and delete calendar events on your behalf;
  • Receive notifications about calendar changes;
  • Track meeting attendance and RSVPs; and
  • Access free/busy information for scheduling purposes.

10.4 Anthropic (AI Services)

QTRBK uses Anthropic's Claude AI models to power AI features. Your use of AI features is subject to our AI Policy. We are not responsible for:

  • Anthropic's availability or performance;
  • Changes to Anthropic's models or capabilities;
  • Limitations inherent in AI technology; or
  • Anthropic's data practices beyond our contractual agreements.

10.5 Other Third-Party Services

The Service may integrate with or link to other third-party services. We do not control these services and are not responsible for their content, privacy practices, or availability. Your use of third-party services is at your own risk and subject to their respective terms.


11. AI Features

11.1 AI-Powered Features

QTRBK includes AI-powered features that provide automated insights, analysis, and recommendations. Your use of AI features is subject to our AI Policy.

11.2 AI Policy

The AI Policy describes:

  • How AI features work and what data they use;
  • The AI technology provider (Anthropic);
  • Limitations and disclaimers regarding AI outputs;
  • Your rights and controls regarding AI features; and
  • Data handling practices for AI processing.

By using AI features, you agree to the terms of the AI Policy.

11.3 No Professional Advice

AI-generated content is for informational purposes only and does not constitute professional advice. You should not rely solely on AI outputs for business, legal, financial, or other important decisions.


12. Service Availability

12.1 Best Efforts

We will use commercially reasonable efforts to make the Service available. However, we do not guarantee any specific level of availability or uptime.

12.2 Scheduled Maintenance

We may perform scheduled maintenance that temporarily affects Service availability. Where practicable, we will provide advance notice of scheduled maintenance.

12.3 Unscheduled Downtime

The Service may be unavailable due to:

  • Technical issues or failures;
  • Security incidents;
  • Third-party service outages (including HubSpot);
  • Force majeure events; or
  • Other circumstances beyond our reasonable control.

12.4 Service Modifications

We reserve the right to modify, update, or discontinue any aspect of the Service at any time. We will provide reasonable notice of material changes that negatively affect your use of the Service.


13. Disclaimers and Limitation of Liability

13.1 Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE DISCLAIM ALL WARRANTIES, INCLUDING:

  • MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE;
  • NON-INFRINGEMENT;
  • ACCURACY, RELIABILITY, OR COMPLETENESS OF CONTENT;
  • UNINTERRUPTED OR ERROR-FREE OPERATION; AND
  • COMPATIBILITY WITH YOUR SYSTEMS OR REQUIREMENTS.

13.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

  • OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNTS YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM; OR (B) AUD $100.
  • WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL.

13.3 Exceptions

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for:

  • Death or personal injury caused by negligence;
  • Fraud or fraudulent misrepresentation; or
  • Any liability that cannot be excluded under the Australian Consumer Law.

13.4 Basis of the Bargain

The disclaimers and limitations in this section reflect a reasonable allocation of risk and form an essential basis of the agreement between us.


14. Indemnification

You agree to indemnify, defend, and hold harmless QTRBK Pty Ltd, its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from:

  • Your use of the Service;
  • Your breach of these Terms;
  • Your violation of any applicable law or third-party rights;
  • Your Content or data;
  • Your interactions with other users; or
  • Any dispute between you and HubSpot or other third parties.

15. Dispute Resolution

15.1 Informal Resolution

Before initiating formal proceedings, you agree to contact us and attempt to resolve any dispute informally. We will attempt to resolve disputes through good-faith negotiation for at least 30 days.

15.2 Mediation

If informal resolution is unsuccessful, either party may initiate mediation. Mediation will be conducted by an agreed mediator or, if the parties cannot agree, a mediator appointed by the Resolution Institute (Australia). The costs of mediation will be shared equally unless otherwise agreed.

15.3 Litigation

If mediation is unsuccessful, either party may commence legal proceedings in the courts of Australia. You agree to submit to the exclusive jurisdiction of the courts of Australia for the resolution of any disputes.

15.4 Governing Law

These Terms are governed by and construed in accordance with the laws of Australia, without regard to conflict of law principles.


16. Changes to Terms

16.1 Right to Modify

We may modify these Terms at any time. Material changes will be communicated through:

  • Email notification to the address associated with your account;
  • In-app notification; or
  • Posting on our website with the updated effective date.

16.2 Acceptance of Changes

Your continued use of the Service after changes become effective constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Service and cancel your Subscription.

16.3 Review

We encourage you to review these Terms periodically. The "Last Updated" date at the top indicates when the Terms were last revised.


17. General Provisions

17.1 Entire Agreement

These Terms, together with the Privacy Policy and AI Policy, constitute the entire agreement between you and QTRBK regarding the Service and supersede all prior agreements and understandings.

17.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect. The unenforceable provision will be modified to the minimum extent necessary to make it enforceable.

17.3 Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision. Any waiver must be in writing and signed by us.

17.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.

17.5 Notices

Notices to you may be sent to the email address associated with your account. Notices to us should be sent to the contact information below.

17.6 Force Majeure

Neither party shall be liable for any failure or delay in performance due to causes beyond their reasonable control, including natural disasters, war, terrorism, riots, embargoes, acts of government, or failures of third-party services.

17.7 No Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights, except as expressly provided.

17.8 Headings

Section headings are for convenience only and do not affect the interpretation of these Terms.
